Teacher Stern is pleased to announce that it has recently acted for the owner of media firm Round 2 International in its acquisition of three UK based media and advertising companies with an aggregate annual turnover of over £65 million. Teacher Stern acted for Garfield Ricketts, Chairman of Round 2 International - UK Ltd, in these acquisitions.
The first of these acquisitions was of Newcastle marketing agency, Robson Brown, the largest independent agency outside of London with clients such as Dreams, Flymo and the National Trust, the second was of London based Austin West Media, whose clients include Zantec and Standard Life and the third, was of a direct marketing agency, Attinger Jack Advertising, based in Bath.
Formed in 1993, the mission of Round 2 in the US has been to accelerate their clients' success by delivering customised advertising media solutions through a dedicated team of experienced specialists and skilled negotiations and to outsmart the competition of their clients by making sure every dollar they spend is working as hard as they are. The three recent acquisitions are part of the acquisition strategy of Round 2 in the UK and further acquisitions are likely to follow which will significantly enhance the current marketing communications offering of Round 2 in the UK.
Round 2 believes that the synergies of the recently acquired companies with Round 2, together with the major strengths of the acquired companies in terms of qualities, capabilities and strength of management will support Round 2's European expansion plans. These initial acquisitions give Round 2 a substantial media, PR and digital presence on which to build and add to.
The team at Teacher Stern were led by David Salisbury and Kelly Whitfield who worked closely with John Foundling at Menzies Corporate Finance to advise on the three transactions from inception to completion.
Kelly Whitfield said "It is an exciting time for this client, building up a new capability within the UK. Each transaction presented its own unique challenges but we were able to complete all three acquisitions on behalf of the client in very short timescales to achieve the deadlines that all parties were seeking. We very much look forward to working with this interesting and exciting client again in the very near future as it continues its expansion within the UK."
Garfield Ricketts commented "These three acquisitions were our first foray into the UK market and we needed to understand the way the local market operated at a legal level, having had no direct prior experience. David and Kelly were superb at guiding us through the obstacles and ensuring we achieved our objectives with direct and robust commercial advice - they were simply great at getting to the point and negotiating the legal issues quickly and concisely. I would not hesitate to recommend Teacher Stern to any new entrant into the UK market looking for acquisitions."

During April 2010, SPB acquired Citymain with Teacher Stern LLP, led by Martine Nathan, acting for the purchaser, SPB. SPB has been creating white-label insurance and assistance solutions for corporate accounts since 1965. Historically focused on the banking sector, SPB has gradually diversified its offering, which now covers not just banking products (payment instrument insurance, savings insurance etc) but also consumer goods insurance (mobile telephones and handhelds, travel, sports equipment etc), home insurance (boilers, electrical installations etc) and life events (marriage, retirement, borrower insurance, death etc).
Formed in 1986, Citymain has earned a solid reputation in the British insurance services market and enjoys an excellent image. With a 40-strong workforce, it was the first company to offer mobile phone insurance in the UK market and has acquired significant expertise in using other mobile products such as laptop computers and gadgets. It also designs products for the banking industry, missed-event covers and other solutions primarily throughout the UK on behalf of underwriters, brokers and customer-facing clients.
This tri-stage acquisition-led expansion has enabled SPB to establish itself in the United Kingdom's insurance market and consolidate its presence in Europe's largest insurance market, whilst tapping into new sources of growth so as to expand their product ranges. Leveraging its market leadership in mobile phone insurance, breakage and theft insurance for technology products and its highly successful breakdown cover offering new-for-old replacement, SPB intends to forge ahead with its innovation policy in this constantly changing sector.
